Execution of Annex to Loan Agreement

The Management Board of PGF S.A. hereby reports that the Company received an annex, executed on May 21st 2009, to an agreement with Bank Zachodni WBK S.A. concerning a PLN 37,346,442.15 (thirty-seven million, three hundred and forty-six thousand, four hundred and forty-two and 15/100 złoty) credit facility including an overdraft facility for treasury transactions.
Under the annex, the availability periods of individual banking products which constitute the sources of financing for PGF S.A. have been extended as follows:
• PLN 19,000,000 overdraft facility – until April 30th 2010,
• PLN 12,000,000 loan disbursable in tranches – until April 30th 2010,
• PLN 46,442.15 guarantee limit – until November 15th 2010,
• overdraft facility for treasury transactions, in the amount corresponding to the transaction risk, but not more than PLN 6,300,000 – until April 30th 2010.
Furthermore, the Company received annexes, executed on May 21st 2009, to loan agreements for a total amount of PLN 45,940,000 (forty-five million, nine hundred and forty thousand złoty) concluded between PGF S.A.’s subsidiaries and Bank Zachodni WBK S.A.
Under the annexes, the availability periods of individual banking products which constitute the sources of financing for PGF S.A.’s subsidiaries have been extended as follows:
• PLN 7,500,000 overdraft facility – until April 30th 2010,
• PLN 38,440,000 loan disbursable in tranches – until April 30th 2010.
The loan is not secured with assets of PGF S.A. or its subsidiaries. The provisions of the agreement do not differ significantly from standard provisions for this type of financial products.
The agreements are deemed significant because their total value exceeds 10% of the Company’s equity.
